1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of the services provided by Northbridge Broadcast Studio Ltd, a broadcasting studio business with its principal place of business at Northbridge Broadcast Studio, 14 Clerkenwell Green, London EC1R 0DE, United Kingdom ("Northbridge Broadcast Studio Ltd", "we", "us", or "our").
By booking, accessing, or using any of our services, including through our website, email, telephone, in person, or via any booking platform, you ("client", "you", or "your") agree to be bound by these Terms. If you do not agree, you must not use our services.
These Terms apply to all services supplied by Northbridge Broadcast Studio Ltd, including live broadcast studio hire, podcast recording and production, multi-camera video production, green screen filming, remote guest connection setup, and audio mixing and post-production.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Scope of Services
Northbridge Broadcast Studio Ltd provides professional broadcast and production services, which may include:
- Live broadcast studio hire;
- Podcast recording and production;
- Multi-camera video production;
- Green screen filming;
- Remote guest connection setup;
- Audio mixing and post-production;
- Related technical support and studio operations services agreed in writing.
The exact scope, duration, deliverables, technical specifications, and any additional requirements will be set out in a booking confirmation, quotation, statement of work, service order, or other written agreement. Any services not expressly included are excluded unless agreed in writing by Northbridge Broadcast Studio Ltd.
We may refuse, suspend, or terminate services where, in our reasonable opinion, the requested content, activity, or technical requirements are unlawful, unsafe, defamatory, offensive, infringe third-party rights, exceed available technical capacity, or otherwise create unreasonable risk.
3. User Obligations and Responsibilities
You agree that you will:
- Provide accurate, complete, and timely information necessary for us to deliver the services;
- Ensure that all guests, presenters, crew, contractors, and representatives attending the studio comply with our studio rules, safety instructions, and operational procedures;
- Obtain all consents, permissions, releases, licences, and approvals required for your content, including any rights related to music, images, performers, speakers, trademarks, and personal data;
- Ensure that all content supplied by you does not infringe any law or the rights of any third party;
- Use equipment and facilities only as instructed and only for authorised purposes;
- Be responsible for the acts and omissions of your team, guests, and subcontractors while on our premises or using our services;
- Notify us promptly of any safety issues, technical issues, damage, or incidents;
- Comply with all applicable laws, regulations, guidance, and industry standards relating to your use of the services and the content you create or distribute.
You must not:
- Bring unlawful, hazardous, or restricted items into the studio;
- Interfere with studio equipment, networks, software, or recording systems;
- Use our services for unlawful, fraudulent, harassing, discriminatory, or defamatory purposes;
- Record, transmit, or distribute content in breach of confidentiality, privacy, data protection, or intellectual property rights;
- Access restricted areas without permission;
- Overload or misuse equipment beyond its intended purpose.
You are responsible for reviewing all recordings, edits, and deliverables before publication, broadcast, or distribution. Unless otherwise agreed in writing, you are solely responsible for final editorial approval and compliance with any broadcaster, platform, or regulatory requirements applicable to your content.
4. Payment Terms and Conditions
Fees for services will be set out in our quotation, booking confirmation, rate card, or other written agreement. Unless otherwise stated:
- All prices are exclusive of applicable taxes, VAT, and other charges unless expressly stated otherwise;
- A deposit or full prepayment may be required to confirm a booking;
- Payment is due by the date specified on the invoice or, if no date is specified, within 14 days of invoice date;
- Bookings are not confirmed until the required deposit or prepayment has cleared;
- Additional time, extra equipment, extended crew hours, overtime, or change requests may incur additional charges;
- Any third-party costs approved by you on your behalf may be recharged to you at cost or as agreed.
If you fail to pay any amount when due, we may charge interest on the overdue sum at the applicable statutory rate, or if no statutory rate applies, at a reasonable commercial rate permitted by law, from the due date until payment is received in full. We may also suspend services, withhold deliverables, cancel future bookings, and recover reasonable debt collection costs where permitted by law.
Payment disputes must be raised in writing within 7 days of the invoice date, identifying the disputed amount and the reason for the dispute. You must pay any undisputed amounts on time.
5. Cancellation and Refund Policy
Cancellations and rescheduling requests must be submitted in writing. Any cancellation fee, rescheduling charge, or refund entitlement will depend on the booking terms and the timing of the cancellation.
Unless otherwise agreed in writing:
- Cancellations made more than 14 days before the booked service may be eligible for a refund of amounts paid less any non-refundable deposit, administrative costs, and third-party charges already incurred;
- Cancellations made 7 to 14 days before the booked service may result in forfeiture of the deposit and may incur additional cancellation charges;
- Cancellations made less than 7 days before the booked service may be charged in full or may result in substantial cancellation fees, reflecting reserved studio time, staffing, and equipment allocation;
- No-shows, late arrivals, and early terminations are non-refundable;
- Refunds, where due, will be processed within a reasonable time after deduction of any applicable charges.
If we cancel due to circumstances within our control, our liability will be limited to rescheduling the booking or refunding the fees paid for the cancelled portion of the services, at our discretion and subject to applicable law. We are not responsible for costs arising from travel, accommodation, equipment hire, talent fees, or third-party commitments unless expressly agreed in writing.
6. Liability Limitations
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Subject to the foregoing, Northbridge Broadcast Studio Ltd shall not be liable for:
- Indirect, incidental, consequential, special, or punitive losses;
- Loss of profit, revenue, business, goodwill, opportunity, anticipated savings, or data;
- Losses arising from third-party actions, platform failures, internet outages, equipment incompatibility, or force majeure events;
- Content errors, omissions, or failures caused by inaccurate instructions, client materials, or client-approved edits;
- Delays caused by the client, guests, contractors, or third-party suppliers.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with any service, whether in contract, tort (including negligence), misrepresentation, breach of statutory duty, or otherwise, shall be limited to the amount paid or payable by you for the specific service giving rise to the claim.
You are responsible for insuring your own equipment, content, and business risks. We recommend that you obtain appropriate insurance cover for production, liability, content, and equipment-related risks.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property rights in our studio, equipment, systems, templates, workflows, branding, methods, and know-how remain the property of Northbridge Broadcast Studio Ltd or our licensors.
Upon full payment of all fees due, and subject to these Terms and any separate written agreement, you will own the final deliverables created specifically for you to the extent that ownership is intended to pass. However, we retain ownership of our underlying materials, tools, software, processes, and non-client-specific assets.
You grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, store, and process your materials solely as necessary to provide the services, maintain records, and exercise our rights under these Terms.
You warrant that you own or have all necessary rights to provide any materials, recordings, music, imagery, scripts, logos, and content supplied to us, and that our use of such materials for service delivery will not infringe any third-party rights.
We may, unless you object in writing before the booking or as otherwise agreed, use limited excerpts, stills, behind-the-scenes images, or anonymised project descriptions for portfolio, promotional, and marketing purposes, provided that such use does not disclose confidential client information or breach any lawful restriction.
8. Data Protection and Privacy
Northbridge Broadcast Studio Ltd will process personal data in accordance with applicable data protection and privacy laws. We will only collect, use, store, and disclose personal data as reasonably necessary to provide services, manage bookings, process payments, maintain records, ensure security, and comply with legal obligations.
You acknowledge that our services may involve recording or transmitting personal data, including images, voices, and other identifying information. You are responsible for ensuring that you have a lawful basis, where required, to collect and share such data with us and to record or publish it through your content.
Where we act as a processor or service provider on your behalf, we will process personal data only on your documented instructions, subject to any separate data processing agreement. Where we act as an independent controller, our own privacy practices will apply.
You must not provide sensitive personal data or special category data unless strictly necessary and expressly agreed in advance. We recommend that you minimise the personal data shared with us and anonymise content where possible.
Further information about our data handling practices may be provided in our privacy notice. If there is any conflict between these Terms and a separate signed data processing agreement, the separate agreement will prevail in relation to data processing.
9. Force Majeure
Northbridge Broadcast Studio Ltd shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to power failure, internet failure, fire, flood, storm, epidemic, pandemic, governmental action, labour disputes, transport disruption, equipment failure not caused by our negligence, civil unrest, war, terrorism, or supplier failure.
Where a force majeure event occurs, we may suspend performance, reschedule the booking, or cancel affected services if performance becomes impracticable, unsafe, or unlawful. We will use reasonable efforts to mitigate the impact of the event and resume services as soon as reasonably practicable.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our services, operational practices, legal requirements, or business needs. Updated Terms will take effect when posted or when otherwise communicated to you, unless a later effective date is stated.
If you have a continuing business relationship with us, the updated Terms will apply to new bookings and, where lawful and reasonable, to ongoing services after notice has been given. Your continued use of our services after any change constitutes acceptance of the updated Terms.
11. Applicable Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, subject to any mandatory rights applicable under law.

13. Severability Clause
If any provision of these Terms is found by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable. If such modification is not possible, the relevant provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
Any failure or delay by Northbridge Broadcast Studio Ltd in exercising a right or remedy under these Terms shall not constitute a waiver of that right or remedy.
These Terms constitute the entire agreement between you and Northbridge Broadcast Studio Ltd regarding the services, except to the extent supplemented by a separate written agreement, quotation, booking confirmation, or data processing agreement signed or accepted by both parties.
